1 Agreement to Terms
By accessing our website or engaging our services, you agree to be bound by these Terms and Conditions. These terms constitute a legally binding agreement between you (the "Client") and Mirae Digitech ("we," "us," "our").
If you do not agree to these terms, please do not use our website or engage our services. We reserve the right to update these terms at any time, and continued use of our services constitutes acceptance of the updated terms.
2 Our Services
Mirae Digitech provides the following categories of services:
- Digital Foundation: Website design and development, SEO optimisation, Google Business setup, and lead-ready digital presence
- AI Automation: Intelligent lead capture, routing, response, follow-up, and task automation systems
- AI Integration System (AIS): Connected business systems integrating Sales, Marketing, Finance, and Operations with real-time reporting
All services are delivered as described in a written proposal, service agreement, or scope document agreed upon before commencement of work.
3 Payment Terms
Unless otherwise agreed in writing:
- A deposit of 50% of the total project value is required before work begins
- Remaining payments are milestone-based as defined in the project proposal
- Invoices are payable within 7 business days of issuance
- Late payments may result in suspension of services until settlement
4 Project Delivery
Timelines quoted are estimates based on the scope agreed at the start of the project. Mirae Digitech will make reasonable efforts to meet agreed deadlines.
- Delivery timelines may be affected by delays in receiving required content, access, or feedback from the client
- Any scope additions requested after project commencement may affect timelines and cost
- Change requests must be submitted in writing and approved by both parties before implementation
5 Intellectual Property
Upon receipt of full payment for the project:
- The client owns all final deliverables specifically created for their project
- Mirae Digitech retains ownership of all proprietary frameworks, tools, methodologies, and reusable code components
- Third-party assets (fonts, stock images, plugins) remain subject to their respective licences
Mirae Digitech reserves the right to display completed work in our portfolio unless the client requests otherwise in writing.
6 Client Responsibilities
To ensure successful project delivery, the client agrees to:
- Provide all required content, branding assets, and access credentials in a timely manner
- Assign a primary point of contact authorised to make project decisions
- Provide clear, consolidated feedback within agreed review periods
- Ensure all content provided complies with applicable laws and does not infringe third-party rights
7 Confidentiality
Both parties agree to maintain strict confidentiality of all proprietary, financial, technical, and business information shared during the engagement. This obligation continues for 2 years after the conclusion of the engagement.
This clause does not apply to information that is publicly known, independently developed, or required to be disclosed by law.
8 Limitation of Liability
Mirae Digitech's total liability to the client for any claim arising from our services shall not exceed the total fees paid by the client in the three months preceding the claim.
We are not liable for any indirect, consequential, incidental, punitive, or special damages, including loss of profits, data, or business opportunities — even if we have been advised of such possibilities.
9 Termination
Either party may terminate an engagement with 14 days' written notice. Upon termination:
- The client will be invoiced for all work completed to date
- All deposits paid are non-refundable unless Mirae Digitech is in material breach
- Work completed will be handed over upon receipt of all outstanding payments
10 Governing Law & Disputes
These Terms and Conditions are governed by the laws of India. Any disputes arising shall first be attempted to be resolved through mutual negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of courts in Karnataka, India.
